The General Counsel serves as the chief legal advisor for the organization and is responsible for leading and managing all legal matters affecting the healthcare enterprise. This role provides strategic legal guidance to executive leadership, ensures organizational compliance with healthcare laws and regulations, oversees legal risk management, and supports governance activities. The General Counsel will also lead the legal department and coordinate with external counsel as necessary.
Key Responsibilities:
Legal Strategy & Risk Management
Provide proactive, strategic legal counsel to the CEO, Board of Directors, and senior leadership on a wide range of legal and regulatory issues.
Identify and mitigate legal risks while supporting operational and strategic goals.
Oversee development and enforcement of corporate policies related to legal and regulatory matters.
Healthcare Regulatory Compliance
Ensure compliance with federal and state healthcare laws including HIPAA, Stark Law, Anti-Kickback Statute, EMTALA, False Claims Act, and CMS regulations.
Monitor and advise on changes in healthcare legislation, policy, and industry standards.
Support audits, investigations, and regulatory inquiries from government and oversight agencies.
Contracts & Transactions
Draft, review, and negotiate a broad range of contracts including vendor agreements, physician employment and services agreements, leases, affiliation agreements, and payer contracts.
Support mergers, acquisitions, joint ventures, and other strategic partnerships.
Maintain standard contract templates and contracting procedures.
Governance & Board Support
Provide legal support for corporate governance, including bylaws, board resolutions, conflicts of interest, and fiduciary responsibilities.
Attend Board and committee meetings as needed and advise on governance and compliance matters.
Ensure compliance with nonprofit or for-profit corporate law, depending on entity structure.
Litigation & Dispute Resolution
Manage all litigation, arbitration, and administrative proceedings involving the organization.
Engage and oversee outside counsel as appropriate.
Support resolution of patient complaints, employment disputes, and professional liability matters.
Employment & Labor Law
Advise on labor and employment matters including disciplinary actions, terminations, employment law compliance, and workplace investigations.
Support HR with development and implementation of legally sound employment policies and practices.
Qualifications:
Education: Juris Doctor (JD) degree from an accredited law school; must be licensed and in good standing to practice law in Florida.
Experience: Minimum 10 years of legal experience, with at least 5 years in a senior legal role within a healthcare organization or law firm with healthcare clients.
Deep knowledge of healthcare laws, regulations, and risk areas.
Experience working with or advising boards of directors and senior executive teams.
